David's Bridal plans to spin off its AI wedding planner, Pearl

David's Bridal wants to take its AI wedding planner, Pearl, public as a separate company. A deal is far from done, but it shows how a retailer sees its tech.

David's Bridal says it plans to spin off Pearl, its AI wedding planner, into its own company and take it public. A shell company called K&F Growth Acquisition Corp. II announced the plan with David's Bridal. The two sides signed a letter of intent, but it is nonbinding.

What the plan says

A shell company of this kind is formally called a special purpose acquisition company, or SPAC. It has no business of its own. It exists to bring another company onto the stock market. Nonbinding means the letter does not legally lock either side into a deal.

The plan also calls for Pearl to eventually own David's Bridal's brand and intellectual property. That means Pearl would sit above the bridal retailer, not the other way around.

Pearl's AI was rebuilt in an agentic style, which means software that can take steps on its own, not just answer questions. That followed David's Bridal's move to Shopify in 2025. David's Bridal ranks No. 460 in the Top 1000 Database of North America's largest online retailers and No. 178 in the AI Commerce Rankings from Digital Commerce 360 and ReFiBuy.

What is not known yet

  • Whether the deal will be finalized, since the letter is nonbinding
  • The timing or the financial terms
  • What changes for David's Bridal shoppers or stores
The takeaway

David's Bridal wants its AI planner to become the parent company, but the deal is only a nonbinding letter for now.
